COPYRIGHT AND USE OF SITE CONTENT

ARIGM encourages and permits links to Content on the Site. However, ARIGM is an organization committed to the highest professional standards. Therefore, ARIGM does not grant any license or other permission for links or other use of the Site or its Content if such use or link: (a) suggests that ARIGM promotes or endorses any third party’s causes, ideas, political campaigns, web sites, products or services, (b) copies, displays, disseminates or otherwise uses the Content without ARIGM’s express written consent, or (c) uses the Content for commercial purposes. ARIGM reserves the right, in its absolute discretion, to reject any requests for such information or materials, or to discontinue the provision of such information or materials to any person, for any reason whatsoever.

You may use the Site for lawful purposes only. You may not upload to, or distribute or otherwise publish through the Site, any Content that is any of the following:

• is libelous, defamatory, obscene, pornographic, abusive, harassing or threatening, or otherwise objectionable to ARIGM in the Company's sole discretion;

• violates the rights of others, such as Content that infringes any copyright, trademark, patent, trade secret or violates any right of privacy or publicity;

• contains any false or misleading statement;

• contains advertising; or

• otherwise violates any applicable criminal or civil law. You may not use the Site for any commercial purpose and may not distribute over the Site any solicitation of funds, goods and services. In addition, you may not use the Site to solicit subscribers to join other online information services that are competitive with the Site.

NON-ENDORSEMENT.

ARIGM does not represent or endorse the accuracy or reliability of any Users' Content displayed, uploaded, posted on any message board, or otherwise distributed through the Site by any subscriber, information provider or any other third party. ARIGM expressly disclaims any liability related to Users' Content, and you acknowledge that any reliance upon such Subscriber Content shall be at your sole risk.

The Site may contain links to sites on the Internet that are owned and operated by third parties (the "External Sites"). You acknowledge that ARIGM is not responsible for the availability of, or the content or software applications located on or through any External Site. ARIGM may change, suspend or discontinue all or any aspect of the Site at any time, including the availability of any Site feature, database, or content, without prior notice or liability.

DISCLAIMER OF WARRANTIES

THE SITE AND THE CONTENT ARE DISTRIBUTED ON AN "AS IS, AS AVAILABLE" BASIS. UNDER NO CIRCUMSTANCES SHALL ARIGM NOR ANY THIRD PARTY CONTENT PROVIDER NOR THEIR RESPECTIVE PREDECESSORS, SUCCESSORS, PARENTS, SUBSIDIARIES, AFFILIATES, PAST OR PRESENT OFFICERS, DIRECTORS, SHAREHOLDERS, INVESTORS, EMPLOYEES, AGENTS, REPRESENTATIVES ATTORNEYS, LICENSORS OR INFORMATION PROVIDERS BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES ARISING OUT OF THE USE OF OR INABILITY TO USE THE SITE, EVEN IF SUCH PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SOME STATES DO NOT ALLOW EXCLUSION OF IMPLIED WARRANTIES OR LIMITATION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY TO YOU. INDEMNIFICATION.

You hereby agree to indemnify, defend and hold ARIGM, and all of its predecessors, successors, parents, subsidiaries, affiliates, and past and present officers, directors, shareholders, investors, employees, agents, information providers, attorneys, representatives licensors and information providers (collectively, the "ARIGM Representatives") harmless from and against any and all liability, losses, costs and expenses (including attorneys' fees) incurred by ARIGM or any ARIGM Representative in connection with any claim arising out of any use or alleged use by you of this site or arising out of or in relation to any breach by you of the Terms and conditions, or the representations, warranties and covenants you made by agreeing to these Terms and Conditions. ARIGM reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, and in such case, you agree to cooperate reasonably with ARIGM's defense of such claim. Choice of Law.

The Terms and Conditions shall be construed in accordance with the laws of the Illinois, without regard to conflict of laws principles.

ENTIRE AGREEMENT

The Terms and Conditions constitute the entire agreement between the parties with respect to the subject matter hereof, and supersede all previous written or oral agreements between the parties with respect to such subject matter.

NO AMENDMENT OR WAIVER

The Terms and Conditions may not be amended except in writing signed by both parties and no waiver by either party shall be deemed a waiver of any preceding or subsequent breach or default, unless such a waiver is in writing and signed by an authorized representative of ARIGM.

You may not frame, link or deep-link this Site to any other website without our prior written consent. Should you wish to frame or to set up a link / deep-link to our Site, please contact info@arigm.com.

If Company authorizes a link, it will be in accordance with the following terms:

You will only link to this Site in a manner that is fair, legal, and does not damage Company’s reputation or take advantage of it;

The link will only connect to the homepage of this Site;

In no event will the authorization granted by Company mean that it: (i) sponsors, cooperates with, verifies or supervises the content and/or services provided through the third-party website, or (ii) is liable for the third-party website content; The third-party website shall be in full compliance with applicable laws and may never host any content that: (i) is false, inaccurate, incorrect, or contains any adult or illegal material or any material that is offensive, harassing, or otherwise objectionable; (ii) misleads or may mislead the user about Company’s adherence or subscription to, or support of, the ideas, statements, or expressions, either lawful or unlawful, of the third party; and (iii) is inappropriate or irrelevant relating to the activity of Company.

Company assumes no liability for any information removed from our Site and reserves the right to permanently restrict access to the Site or any user account. You shall not create or distribute information, including but not limited to advertisements, press releases or other marketing materials from Company Content removed or obtained from the Site, without the prior review and written approval of Company, which we may withhold at our discretion.

You agree to indemnify and hold Company, its parents, subsidiaries, officers, employees, and website contractors and each of their officers, employees and agents harmless from any claims, damages and expenses, including reasonable attorneys’ fees and costs, related to your use of the Site, or any violation of these Terms.

Miscellaneous

Both you and Company acknowledge and agree that no partnership is formed and neither of you nor Company has the power or the authority to obligate or bind the other.

To the fullest extent permitted by applicable law, and for users who are not individuals resident in Quebec, these Terms will be governed by and construed in accordance with the internal laws of Illinois without regard to conflicts of laws principles. By using this Site, you hereby agree that any and all disputes regarding these Terms will be subject to the courts located in Illinois.

If Company fails to act with respect to your breach or anyone else’s breach on any occasion, Company is not waiving its right to act with respect to future or similar breaches. Company may assign these Terms in whole or in part, at any time with or without notice to you. To the extent that you allow a third party to use your device, you shall remain solely responsible for the use of the Site by others using the device. If any provision of these Terms shall be unlawful, void or for any reason unenforceable, then that provision shall be deemed severable from these terms of use and shall not affect the validity and enforceability of any remaining provisions. These Terms constitute the entire agreement between you and Company regarding the use of the Site.
